Meta Eagle Club NFT Lawsuit: Balfour-Browne v. Eden Fine Art
Meta Eagle Club NFT class action lawsuit against Eden Gallery and Gal Yosef. Burwick Law represents purchasers alleging deceptive conduct.
On February 7, 2025, a class action complaint was filed in the United States District Court for the Southern District of New York, captioned Balfour-Browne v. Eden Fine Art NY Inc. et al., Case No. 1:25-cv-1142, on behalf of all persons who purchased Meta Eagle Club NFTs. The lawsuit names as defendants Eden Fine Art NY Inc. (doing business as Eden Gallery), Cetra Art Corporation, Eden Gallery CEO Cathia Klimovsky, Eden Fine Art CEO Guy Martinovsky, and digital artist Gal Yosef.
According to the complaint, defendants created the Meta Eagle Club, a purported members-only club built around 12,000 NFTs depicting 3D eagle avatars designed by Yosef. Membership required purchasing a Meta Eagle Club NFT using Ether (ETH) on the Ethereum blockchain. The Mint took place on or about February 7, 2022, generating approximately $13 million in revenue for defendants. Club membership was marketed through a detailed roadmap promising exclusive benefits, including in-person events at Eden Gallery locations worldwide, VIP flights, helicopter rides, hot air balloon experiences, physical artwork by Yosef, metaverse development in the Galyverse, a $WING token yield system, an animated series, and luxury brand collaborations.
The complaint alleges that defendants delivered almost none of what was promised. After holding just two events in March 2022 and providing a handful of minor benefits to a small number of holders, defendants allegedly ceased all meaningful club activity. By April 2023, all communication from defendants stopped entirely. The complaint alleges that the custom Meta Eagle Club metaverse was never built, the $WING token was never released, and the animated series never materialized. Meanwhile, the complaint alleges, defendants continued their business relationship outside the Meta Eagle Club, with Eden Gallery promoting new Yosef collections at its New York locations. Meta Eagle Club NFTs are now alleged to be worthless.
The complaint further alleges that defendants made deceptive statements designed to induce purchases of Meta Eagle Club NFTs and to sustain their market value after the Mint, including repeated assurances of long-term commitment and development progress that did not reflect reality. Defendants also allegedly embedded a 10% royalty on secondary market sales of the NFTs, giving them a financial incentive to keep prices elevated through misleading statements.
The complaint asserts claims for breach of contract, breach of the implied duty of good faith and fair dealing, violations of New York General Business Law Section 349, and unjust enrichment. It seeks compensatory damages, statutory and treble damages under GBL Section 349, disgorgement, and attorneys' fees.
